These Terms of Service ("Terms") govern your access to and use of the International Case Research Association ("ICRA," "we," "us," or "our") website at caserearch.org, related pages, and paid membership services. ICRA is organized under the laws of the Province of Ontario, Canada. Please read these Terms carefully before creating an account or completing a purchase.
1. Acceptance of terms
By accessing this site, creating an account, or completing a purchase, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site or purchase a membership. If you purchase on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to create an account or purchase a membership. Memberships are intended for academics, professionals, and organizations engaged in case research, teaching, and learning.
3. Memberships and billing
ICRA offers paid memberships through our online checkout, powered by Easy Digital Downloads and Stripe. Unless otherwise stated at checkout:
- Individual membership is priced at US $100 per year.
- Corporate membership is priced at US $300 per year.
- Individual ($100/year) and Corporate ($300/year) memberships are purchased as non-recurring annual memberships. Your membership term is for one year from the date of purchase unless a different period is clearly shown at checkout. We do not enroll you in automatic renewal unless that is expressly offered and accepted at checkout.
- Corporate memberships may include up to five (5) named attendees. Attendee names and contact details are collected at checkout and must be accurate. You are responsible for ensuring those attendees are authorized to receive membership-related communications.
Current prices, benefits, and product descriptions appear on our Membership page and are confirmed on the checkout screen, which controls the product and price you are purchasing. Taxes, if any, may be added where required. Payment is due at the time of purchase in the currency displayed at checkout (typically US dollars).
4. Membership benefits
Membership benefits may include professional development opportunities, networking, case publishing and teaching guidance, access to member community features, and eligibility for association programs or awards as described on the Membership page. Benefits may change over time as ICRA evolves its programs. Access to specific events, awards, or designation programs may require separate application, eligibility criteria, or additional fees, which will be disclosed when applicable.
Membership does not grant ownership of ICRA materials, voting rights beyond any rules ICRA may publish for members, or a license to redistribute case content owned by third-party publishers.
5. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Provide accurate registration and billing information and keep it up to date. Notify us promptly at the contact email below if you suspect unauthorized access. We may suspend accounts that appear compromised, abusive, or fraudulent.
6. Acceptable use
You agree not to:
- Misuse the site, attempt to disrupt its security or availability, or probe systems without authorization.
- Scrape, harvest, or bulk-download personal data or site content except as expressly permitted.
- Impersonate another person or organization, or misrepresent your affiliation with ICRA.
- Use the site or membership benefits in violation of applicable law, academic integrity rules, or third-party intellectual property rights.
- Share a single membership login in a way that circumvents Individual or Corporate seat limits.
7. Content and case database
Case abstracts, officer and advisory profiles, news, and other materials on this site are provided for informational and educational purposes. ICRA does not warrant that content is complete, current, or suitable for a particular purpose. Teaching notes, full cases, and publication rights for third-party cases remain with the respective authors and publishers unless otherwise stated.
8. Third-party purchases
Links to purchase cases from external publishers (for example, Ivey Publishing) leave our site. Those purchases are governed solely by the publisher’s terms, pricing, licenses, and privacy practices. ICRA is not a party to those transactions and is not responsible for fulfillment, refunds, or license scope for third-party cases.
9. Intellectual property
ICRA names, logos, site design, and original content are owned by ICRA or its licensors. You may not copy, modify, or redistribute them except for personal, non-commercial viewing or as expressly permitted in writing. Feedback you submit about the site may be used by ICRA without obligation to you.
10. Refunds
Membership fees are generally non-refundable once payment is completed, except where required by applicable law or where ICRA, in its discretion, corrects duplicate or erroneous charges. If you believe you were charged in error, contact us promptly with your order details before opening a payment dispute so we can investigate and assist.
11. Electronic communications
By creating an account or purchasing a membership, you consent to receive transactional emails related to your account, receipts, membership status, and service notices. Marketing communications, if any, will follow applicable consent and unsubscribe rules described in our Privacy Policy.
12. Disclaimer and limitation of liability
The site and memberships are provided "as is" and "as available" to the fullest extent permitted by law. ICRA disclaims warranties not required by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, ICRA is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the site or memberships. Where liability cannot be excluded, ICRA’s aggregate liability for claims relating to the site or a membership purchase is limited to the amount you paid ICRA for that membership in the twelve (12) months before the claim.
13. Indemnity
You agree to defend and indemnify ICRA and its officers, directors, and volunteers against claims arising from your misuse of the site, violation of these Terms, or infringement of third-party rights, except to the extent caused by ICRA’s own negligence or willful misconduct.
14. Suspension and termination
We may suspend or terminate access to the site or membership benefits if you violate these Terms, if required by law, or if we discontinue a service. Provisions that by their nature should survive (including intellectual property, disclaimer, limitation of liability, indemnity, and governing law) will survive termination.
15. Changes
We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Material changes may also be highlighted on the site or by email where appropriate. Continued use of the site or your membership after changes constitutes acceptance of the revised Terms.
16. Governing law and severability
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to any mandatory rights that cannot be waived under applicable law, the courts of the Province of Ontario shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or your use of the site or memberships. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any checkout disclosures for a specific purchase, form the entire agreement between you and ICRA regarding the site and memberships.
